1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Storepecker platform at https://www.storepecker.com, operated by Tech101 Informatics Private Limited (“Storepecker”, “we”, “our”, or “us”), a company incorporated under the Companies Act, 2013.

Storepecker is a multi-tenant Software-as-a-Service (SaaS) e-commerce platform that enables brands and direct-to-consumer (D2C) sellers to create, manage, and operate their own branded online stores. Our services include website building, domain hosting, payment gateway integrations, shipping partner integrations, inventory management, and order management. We are not a marketplace and do not operate as one.

These Terms apply to two categories of users:

  • Merchants — brands, D2C sellers, and businesses that register on Storepecker to build and operate an online store

  • Buyers — individuals who visit or purchase from a store built on Storepecker’s platform

By accessing or using the Platform in any capacity, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please discontinue use immediately.

These Terms should be read together with our Privacy Policy, which explains how we collect, use, store, and protect your personal data. By using the Platform, you also accept our Privacy Policy.

2. Eligibility

To use Storepecker as a Merchant, you must:

  • Be at least 18 years of age and have the legal capacity to enter into a binding agreement

  • Be a duly registered business entity or an individual acting in a legitimate commercial capacity

  • Provide accurate, complete, and up-to-date registration information

  • Not be barred from using the Platform under applicable law

Storepecker reserves the right to refuse registration or terminate accounts that do not meet these requirements or that provide false or misleading information.

3. Merchant Accounts

3.1 Account Registration

To access Storepecker’s services, Merchants must create an account by providing accurate business information including business name, contact details, GSTIN/PAN (where applicable), and billing information. You are responsible for maintaining the accuracy of this information and updating it as necessary.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at contact@storepecker.com if you suspect any unauthorised access to your account. Storepecker will not be liable for any loss or damage arising from unauthorised use of your account due to your failure to secure credentials.

Storepecker will never ask for your password, payment PIN, or banking credentials via email, phone, or any other channel. If you receive such a request claiming to be from Storepecker, do not respond and report it to us and to the appropriate law enforcement authority immediately.

3.3 One Account Per Business

Each business entity is permitted one active Storepecker account unless explicitly approved otherwise by Storepecker in writing.

4. Services Provided by Storepecker

Storepecker provides the following services to Merchants:

  • Website Builder: Tools to design and launch a fully functional branded online store

  • Domain Hosting: Hosting services for your store’s domain and web infrastructure, hosted on Amazon Web Services (AWS)

  • Payment Gateway Integration: Technology integration with Razorpay, PhonePe, Stripe, and Tabby to enable your store to accept payments

  • Shipping Partner Integration: Technology integration with Shiprocket, Delhivery, and iCarry to enable order fulfilment and delivery management

  • Inventory Management: Tools to add, manage, and track your product catalogue and stock levels

  • Order Management: Tools to view, process, and manage customer orders placed on your store

  • Communication Tools: Integration with WhatsApp Business API (Meta Platforms), SMS, and email delivery services for order notifications and customer communication

Important: Storepecker provides technology integrations only. We are not a payment processor, logistics company, or marketplace. All payment transactions are processed directly by the respective payment gateway. All deliveries are managed by the respective shipping partner. Storepecker is not a party to any transaction between a Merchant and their customers.

5. Subscription Plans & Payments

5.1 Available Plans

Storepecker offers two subscription plans for Merchants:

  • Base Plan: Entry-level plan with core website building and store management features

  • Pro Plan: Advanced plan with additional features, customisation options, and integrations

5.2 Subscription Fees

Subscription fees are charged as stated on our pricing page at the time of sign-up. Storepecker reserves the right to revise subscription pricing with at least 7 days’ advance written notice to existing Merchants. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

5.3 Payment Gateway Charges

Payment gateway transaction fees (such as those charged by Razorpay, PhonePe, Stripe, or Tabby) are separate from Storepecker’s subscription fees. These charges are determined and collected solely by the respective payment gateway providers and are entirely outside Storepecker’s control. Storepecker does not collect, retain, or benefit from payment gateway transaction fees.

5.4 No Hidden Charges

Storepecker does not levy any charges beyond the stated subscription fee. The only charges you will incur are your chosen subscription fee and any transaction fees imposed by your selected payment gateway provider.

5.5 No Refund Policy

All subscription fees paid to Storepecker are strictly non-refundable under any circumstances, including but not limited to:

  • Early cancellation or downgrade of a subscription

  • Partial use of a subscription period

  • Dissatisfaction with any feature or service

  • Change of business plans or circumstances

  • Technical issues or service interruptions

By subscribing to any Storepecker plan, you expressly acknowledge and agree to this no-refund policy. We strongly encourage you to review plan features thoroughly and contact our support team with any queries before subscribing.

6. Website Themes & Customisation

6.1 Theme Purchases

Storepecker offers a selection of website themes that Merchants may purchase to design and personalise their online store. Theme purchases are one-time payments and are non-refundable under any circumstances, including dissatisfaction with appearance after purchase, accidental purchase, or switching to a different theme.

We strongly encourage Merchants to preview all available themes thoroughly before making a purchase. Our support team is available to assist you in choosing the right theme prior to purchase.

6.2 Additional Customisation

Any modifications beyond the standard theme — including layout adjustments, custom feature additions, or bespoke design elements — are not included in the theme purchase price and will be billed additionally. The process is as follows:

  1. Merchant submits a customisation request to Storepecker support

  2. Storepecker reviews the request and provides a written quote outlining the scope and charges

  3. Merchant approves the quote in writing before any work commences

  4. Work begins upon receipt of the agreed payment

No customisation work will begin without a written quote approved by the Merchant and receipt of the agreed payment. Customisation charges are separate from and in addition to your subscription fee and theme purchase price.

6.3 Ownership of Customised Themes

Any customisation work completed by Storepecker remains the property of Tech101 Informatics Private Limited unless explicitly agreed otherwise in writing. Merchants are granted a non-exclusive, non-transferable licence to use the customised theme solely for operating their Storepecker store. Customised themes may not be resold, redistributed, or transferred to any third party.

7. Merchant Obligations & Responsibilities

7.1 Lawful Use

Merchants agree to use Storepecker solely for lawful purposes and in compliance with all applicable laws and regulations in the jurisdictions where they operate and sell.

7.2 Prohibited Products & Content

Merchants must not use Storepecker to sell, promote, or distribute any of the following:

  • Adult, obscene, or sexually explicit content or products

  • Illegal products or services of any kind

  • Counterfeit, pirated, or trademark-infringing goods

  • Weapons, firearms, ammunition, or explosive materials (unless specifically licensed and approved)

  • Narcotics, controlled substances, or drug paraphernalia

  • Products that violate applicable import, export, or customs regulations

  • Content that promotes hatred, violence, discrimination, or harassment

  • Any product or content that violates intellectual property rights of a third party

Storepecker reserves the right to determine, at its sole discretion, whether a product or store violates these guidelines.

7.3 Accuracy of Information

Merchants are solely responsible for the accuracy, completeness, and legality of all content published on their store, including product descriptions, pricing, images, and policies. Storepecker does not verify, endorse, or take responsibility for any Merchant content.

7.4 Customer Relationships

Merchants are solely and entirely responsible for all interactions with their Buyers, including:

  • Accuracy of product listings and descriptions

  • Order fulfilment, delivery, and logistics

  • Customer service, complaints, and dispute resolution

  • Refund and return policies for their store

  • Compliance with consumer protection laws applicable to their business

Storepecker is a technology platform only and is not a party to any transaction between a Merchant and their Buyers.

7.5 Data Responsibility & Privacy Compliance

Merchants are independent data fiduciaries under the Digital Personal Data Protection Act, 2023 (DPDP Act) with respect to all personal data they collect from their End Customers. Merchants must:

  • Maintain their own privacy policy and terms of service governing how they collect and use customer data

  • Obtain adequate, informed consent from End Customers for all data processing related to their store operations

  • Use End Customer data solely for order fulfilment and legitimate store operations — not for advertising, profiling, or any unauthorised commercial purpose

  • Never sell, rent, or disclose End Customer data to third parties for their independent use

  • Comply with all applicable data protection laws in the jurisdictions where they operate, including the DPDP Act, 2023 and the IT (SPDI) Rules, 2011

  • Implement appropriate technical and organisational measures to protect End Customer data

Storepecker stores End Customer data on its infrastructure on behalf of Merchants. Storepecker uses this data solely for internal platform analytics. Merchants remain responsible for all aspects of their data relationship with their customers.

7.6 Children’s Data

Merchants must not knowingly collect or process personal data of children under the age of 18 without verifiable parental or guardian consent, as required under Section 9 of the DPDP Act, 2023. Merchants must not engage in tracking, behavioural monitoring, or targeted advertising directed at children.

8. Terms Applicable to Buyers

8.1 Storepecker’s Role

Buyers access stores built on Storepecker’s infrastructure. Storepecker provides the underlying technology platform but is not the seller of any products or services available on Merchant stores. All purchases made on a Merchant’s store are transactions solely between the Buyer and the Merchant.

8.2 Buyer Disputes

Any disputes regarding orders, products, deliveries, refunds, or returns must be directed to the Merchant whose store you purchased from. Storepecker does not handle Buyer complaints or disputes and cannot intervene in Merchant-Buyer transactions.

8.3 Buyer Data & Privacy

When you transact on a Merchant’s store built on Storepecker, your personal data (including name, contact details, shipping address, order information, and payment references) is stored on Storepecker’s infrastructure on behalf of the Merchant. Storepecker uses this data solely for internal platform analytics to improve performance and features — never for advertising, profiling, or any commercial purpose. Buyer data is never sold and never shared with external parties.

Your primary data relationship is with the Merchant. Please refer to the Merchant’s privacy policy for details of how they use your data. You also have rights under the DPDP Act, 2023 — including rights of access, correction, erasure, and grievance redressal — which may be exercised with both Storepecker and the relevant Merchant as applicable.

8.4 Payment Security

All payments made on Merchant stores are processed by third-party payment gateways (Razorpay, PhonePe, Stripe, or Tabby). Storepecker does not store or process your full payment card numbers, CVV/CVC codes, or complete bank account details — these are handled directly by the respective payment gateway under PCI-DSS compliance obligations. For payment-related concerns, please refer to the relevant payment gateway’s terms and support.

9. Data Collection, Processing & Privacy

This section summarises how Storepecker handles data in the context of platform use. For complete details, please refer to our Privacy Policy at https://www.storepecker.com/privacy-policy.

9.1 Data We Collect

We collect the following categories of data from Merchants: identity and contact details, business information, authentication data, store configuration data, subscription and billing records, and platform activity data. From End Customers (on behalf of Merchants), we collect order data, shipping and contact information, payment references, and browsing data on Merchant stores.

9.2 Lawful Basis for Processing

We process personal data on the following lawful bases under the DPDP Act, 2023: (a) Consent — obtained at account registration and through affirmative action; (b) Contractual Necessity — to deliver Platform services; (c) Legitimate Uses — as prescribed under Section 7 of the DPDP Act; (d) Legal Obligation — for compliance with applicable laws.

9.3 Data Retention

We retain your data for as long as your account is active or as needed to provide our services. Key retention periods:

You may request deletion of your account at any time through your profile settings or by contacting our Grievance Officer. Personal data will be removed within 90 days of deletion, subject to statutory retention requirements.

9.4 Data Security

The Company implements reasonable security practices and procedures as required under the DPDP Act, 2023 and the IT (SPDI) Rules, 2011, including: TLS/SSL encryption for data in transit; AES-256 encryption for sensitive data at rest; secure AWS infrastructure (ISO 27001, SOC 2, PCI-DSS certified); multi-tenant data isolation; role-based access controls; and regular security patching.

9.5 Data Breach Notification

In the event of a personal data breach likely to cause harm, Storepecker will notify the Data Protection Board of India within the timeframe prescribed by applicable law, notify CERT-In within six (6) hours as required under the CERT-In Directions of April 2022, and notify affected users without unreasonable delay.

9.6 Your Privacy Rights

In accordance with the DPDP Act, 2023, you have the following rights: Right of Access, Right to Correction & Erasure, Right to Grievance Redressal, Right to Nominate, and Right to Withdraw Consent. To exercise these rights, contact our Grievance Officer at the details in Section 15.

9.7 Cookies & Tracking

The Platform uses essential cookies (for authentication and security — cannot be disabled), functional cookies (for preferences), and analytics cookies (for internal usage analytics only — not shared with third-party advertising providers). The Company does not use third-party advertising cookies or tracking pixels for behavioural advertising.

10. Third-Party Integrations

Storepecker integrates with the following third-party service providers:

Your use of these third-party services is governed by their respective terms of service and privacy policies. Storepecker does not guarantee the continued availability of any third-party integration and reserves the right to add, modify, or remove integrations at any time. All third-party data processors are bound by written contractual agreements specifying the scope and limitations of processing and prohibitions on using data for any purpose other than providing services to Storepecker.

11. Intellectual Property

11.1 Storepecker’s IP

All intellectual property in the Storepecker platform — including its software, design, features, branding, logos, and content created by us — is owned by Tech101 Informatics Private Limited. Nothing in these Terms grants you any ownership rights over our intellectual property.

11.2 Merchant Content

Merchants retain full ownership of the content they upload to their store, including product images, descriptions, and branding. By uploading content to Storepecker, you grant us a limited, non-exclusive, royalty-free licence to host, display, and transmit that content solely for the purpose of operating your store on our Platform.

11.3 No Misuse

You must not copy, reproduce, modify, reverse engineer, or create derivative works from any part of the Storepecker platform without our prior written consent.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Storepecker and its directors, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Any disputes, losses, or claims arising from transactions between Merchants and their Buyers

  • Downtime, errors, or interruptions in payment gateway or shipping partner services

  • Unauthorised access to your account resulting from your failure to secure credentials

  • Any content published by Merchants on their stores

  • Loss or corruption of data resulting from a security breach despite implementation of reasonable security measures

Storepecker’s total aggregate liability to any Merchant shall not exceed the total subscription fees paid by that Merchant to Storepecker in the three (3) months preceding the event giving rise to the claim.

13. Disclaimer of Warranties

The Storepecker platform is provided on an “as is” and “as available” basis. While we strive to maintain high availability and performance, we do not warrant that the Platform will be uninterrupted, error-free, or completely secure at all times; that any defects or errors will be corrected immediately; or that the Platform will meet every specific business requirement of every Merchant.

We make no warranties, express or implied, regarding the fitness of the Platform for any particular purpose beyond what is described in our service documentation.

14. Indemnification

You agree to indemnify, defend, and hold harmless Tech101 Informatics Private Limited, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Storepecker platform

  • Your store’s content, products, or services

  • Any dispute between you and your Buyers

  • Your violation of these Terms, our Privacy Policy, or any applicable law

  • Your infringement of any third-party intellectual property or rights

  • Your failure to comply with applicable data protection laws in the processing of End Customer data

15. Grievance Redressal & Contact

In accordance with Rule 5(9) of the IT (SPDI) Rules, 2011 and the DPDP Act, 2023, the Company has appointed a Grievance Officer to address complaints and requests relating to both these Terms and our Privacy Policy:

The Grievance Officer shall acknowledge receipt of a grievance within forty-eight (48) hours and endeavour to resolve it within thirty (30) days. If the grievance is not resolved to your satisfaction, you may approach the Data Protection Board of India under the DPDP Act, 2023, or such other authority as may be appropriate under applicable law.

16. Modification to These Terms

Storepecker reserves the right to update or modify these Terms at any time. For material changes, we will notify Merchants via email or through a prominent notice on the Platform at least 7 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ernakulam, Kerala, India.

Before initiating any legal proceedings, both parties agree to make a good-faith effort to resolve the dispute through direct communication with our Grievance Officer (Section 15).
